Terms of Service

ISX Tech provides a suite of technology solutions designed to elevate organizational teams. Our Services encompass:

• SaaS Platforms: Cloud-based software applications, including CourseForge AI and Acendro, which require user registration and may be subject to subscription fees.
• Strategic Consultation: Advisory services related to organizational performance, workflow design, and technology implementation.
• Custom Development & Customer-Facing Solutions: Bespoke software design and support interfaces.

Certain specific engagements, particularly custom development and consulting, may be governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a conflict between these Terms and a specific MSA/SOW, the terms of the MSA/SOW shall prevail.

To access our SaaS platforms, you may be required to register for an account.

• You agree to provide accurate, current, and complete information during the registration process.
• You are responsible for safeguarding your password and for all activities that occur under your account.
• You must immediately notify ISX Tech of any unauthorized use of your account or any other breach of security.

You agree to use the Services only for lawful purposes and in a manner consistent with the intended use of the platforms. You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of CourseForge AI, Acendro, or any other ISX Tech software.
• Use the Services to store or transmit infringing, libelous, or otherwise unlawful or tortious material.
• Interfere with or disrupt the integrity or performance of the Services or third-party data contained therein.
• Attempt to gain unauthorized access to the Services or their related systems or networks.
• Use the platforms to train competing artificial intelligence models or machine learning algorithms.

ISX Tech Property: The Services, including all software (CourseForge AI, Acendro), designs, text, graphics, algorithms, AI frameworks, and other content, are the exclusive property of ISX Tech and its licensors. These Terms do not grant you any right, title, or interest in the Services or ISX Tech trademarks, logos, or brand features.

Customer Data:You retain all rights and ownership to the data, content, and materials you upload, input, or process through our Services (“Customer Data”). You grant ISX Tech a limited, worldwide, non-exclusive license to host, copy, transmit, and display Customer Data strictly as necessary for us to provide the Services to you.

If you purchase a subscription to our SaaS platforms or engage our consulting services, you agree to pay all applicable fees specified at the time of purchase.

• Subscriptions: SaaS subscriptions are billed on a recurring basis (e.g., monthly or annually) and are non-refundable unless otherwise required by law.
• Modifications: We reserve the right to modify our pricing and fees at any time, subject to providing you with reasonable prior notice.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. ISX Tech makes no representations or warranties of any kind, express or implied, regarding the operation of the Services, the accuracy of the information, or the results generated by AI-driven tools. To the maximum extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, in no event shall ISX Tech, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content.

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease.

These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in the Philippines.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
